Article 3 of the current Law of the Republic of Armenia on Limited Liability Companies, which provides the main provision on LLCs does not include any requirement of a round seal.
However prior to definite changes and amendments, Part 6 of the Same Article 3 provides the following basic provisions on Limited Liability Companies, the relevant part reads, “A Company must have its firm name in Armenian language, as well as a round seal containing other essential elements defined by the Government of the Republic of Armenia (herein, Government). A seal of a Company may also contain the Company name or the firm name in foreign languages, as well as the illustration or the symbol of its trademark.”
Whereas after the amendment of 12 December 2010 of Part 6 of the Same Article 3 it read: “A Company may have a round seal. The seal must contain the firm name in Armenian language as well as other essential elements defined by the Government of the Republic of Armenia (herein, Government). A seal of a Company may also contain the Company name or the firm name in foreign languages, as well as the illustration or the symbol of its trademark.”
This provision was repealed by the 2012 amendments adopted on 19 March.
Thus, currently the seal for a Limited Liability Company is optional.
